12月1日晚，北汽蓝谷(600733)披露公告，公司将通过子公司北汽新能源的子公司卫蓝投资与麦格纳国际奥朗爱尔兰有限公司(以下简称“麦格纳爱尔兰”)共同打造具有成本优势和技术创新能力的纯电动乘用车制造合资公司。
根据公告，通过卫蓝投资作为投资主体与麦格纳爱尔兰受让北汽集团所持有的镇江汽车公司的85%股权、镇江汽投所持有的镇江汽车公司的15%股权后，对镇江汽车公司现有规模和资产进行适应性改造升级，打造具有成本优势和技术创新能力的纯电动乘用车制造合资公司(以下简称“麦格纳制造合资公司项目”)。
麦格纳制造合资公司项目整体方案由三部分内容构成。
第一部分，购买股权类资产。卫蓝投资以2.1亿元现金受让北汽集团所持有的镇江汽车公司的36%股权和以9207.6万元现金受让镇江汽投所持有的镇江汽车公司的15%股权。
制造合资公司项目合作方麦格纳爱尔兰通过产权交易所摘牌方式受让北汽集团持有的镇江汽车公司的49%股权。股权转让完成后，镇江汽车公司拟更名为北汽蓝谷麦格纳汽车有限公司(暂定名，以经工商登记机关核准的名称为准，以下简称“制造合资公司”)。
第二部分，向制造合资公司增资。上述股权转让完成后，卫蓝投资拟以不高于1.97亿元、麦格纳爱尔兰拟不高于1.89亿元或等值外币，以现金按持股比例向制造合资公司增资其中合计300万元计入制造合资公司的注册资本，其余计入资本公积。增资后，制造合资公司注册资本由9.97亿元变更为10亿元，卫蓝投资持有制造合资公司的股权比例仍为51%。
第三部分，制造合资公司一期建设。制造合资公司一期规划建设产能15万辆/年，计划于2020年底前实现高端新车型首车下线。拟由镇江市政府指定的投资平台出资建设并将相关资产租赁给制造合资公司使用。
对于本次交易的合理性，公司称，子公司北汽新能源目前的生产基地具备EC\EX\EU等现有车型产品生产能力。本次与麦格纳爱尔兰合资成立的制造合资公司将具备全新开发的ARCFOX系列产品的特殊生产工艺和高品质制造能力。ARCFOX系列产品是公司基于“产品向上、品牌向上”战略，与合作方麦格纳爱尔兰共同开发的全新车型。通过与麦格纳的合资合作将为镇江制造基地引入国际一流的车辆制造工艺标准和制造流程体系，保证公司新研发的高端全新车型产品的特殊生产制造工艺要求、全过程高质量控制等。
镇江汽车公司近年来处于亏损的状态，2018年镇江汽车公司营收16亿元，亏损1.78亿元；2019年上半年营收3.99亿元，亏损5796万元。
